When selling a business, we focus on two key things to achieve the optimum price: (i) creating value for the buyers and (ii) creating competitive tension during the sale process. The other essential, and often under-estimated, factor that we manage carefully is transaction risk; i.e. the risk of the transaction falling-over at some point.

If a deal falls over it usually becomes nothing more than a waste of time and money. So, to maximise the chance of the investment in the process resulting in the desired outcome, we manage transaction risk very carefully. We do this by anticipating what could go wrong and how to avoid it or resolve it if it does go wrong. This sounds easy, but it is actually the part of our work that requires the most skill. It is also the part of our work that is often not well understood by new clients at the start of a deal, but is greatly appreciated by the end of a deal.
